PART II — REFERRAL REWARDS, PROGRAMME ADMINISTRATION & GOVERNANCE

This Part sets out the detailed rules governing referral rewards, tier structures, attribution, prohibited conduct, and the governance framework for the Benmort Connect Referral Programme. It forms an integral part of the Referral Programme Terms and must be read alongside Part I and all other applicable Benmort Connect policies.

11.Referral Reward Structure

We believe that the people who help Benmort grow deserve to be recognised and rewarded generously and transparently. Our referral reward structure is designed to reflect the genuine value that each participant brings to the ecosystem.

Reward structures may vary depending on a range of factors, including:

  • Business unit and service category
  • Geographical region
  • Active campaign or promotional programme
  • Volume of referrals
  • Referral tier of the participant
  • Customer transaction value
  • Type of customer being referred

The following reward types may be available, individually or in combination, depending on your tier and the active programme:

12.Referral Tiers

The Benmort Connect Referral Programme operates on a tiered structure that recognises different levels of engagement, commitment, and commercial contribution. Each tier comes with different eligibility criteria, reward rates, obligations, and opportunities. The tier structure is designed to grow with you — as your contribution increases, so do your rewards and recognition.

Tier assignments are made by Benmort based on an assessment of eligibility. You will be notified of your assigned tier in writing. Tier reassessment may occur periodically based on performance, compliance, and programme activity.

13.Referral Attribution

Referral attribution determines which participant receives credit — and ultimately the reward — for introducing a particular customer to Benmort Connect. We apply attribution rules consistently and in good faith to ensure fairness across the programme.

A referral will be attributed to the first eligible Referrer whose submission meets all of the following conditions:

  • The referral is properly submitted through an approved Benmort Connect channel.
  • The submission contains sufficient identifying information to verify the referred customer.
  • The referral is accepted by Benmort as valid and eligible.
  • The referral remains valid and active at the time the referred customer engages with Benmort.

Benmort may decline to attribute a referral in any of the following circumstances:

  • Two or more Referrers claim credit for introducing the same customer at around the same time.
  • The customer was already known to Benmort as an existing lead or active client prior to the referral submission.
  • The referral cannot be verified with reasonable certainty using available records.
  • A separate contractual arrangement or existing business relationship governs the introduction.

Benmort’s determination of referral attribution is final, made reasonably and in good faith. Where you believe an attribution decision is incorrect, you may raise a dispute in accordance with Section 29.

14.Duplicate Referrals

Only one Referral Reward is ordinarily payable for the same customer and the same commercial opportunity. This ensures that the programme remains fair and sustainable for all participants.

Where duplicate submissions are received for the same customer, Benmort will assess eligibility by considering all relevant factors, including:

  • The date and time of each submission.
  • The quality and completeness of the information provided.
  • The history of documented communications between each Referrer and the customer.
  • Any pre-existing business relationship between a Referrer and the customer.
  • Applicable programme rules in force at the time of submission.

If you are aware of a potential attribution conflict before submitting a referral, please flag this to Benmort through the support channel to allow us to handle it in the best way for all parties.

15.Enterprise & Corporate Referrals

We recognise that some organisations — including corporates, educational institutions, recruitment agencies, employers, and strategic partners — have the capacity to introduce referrals at a volume and scale that warrants a more structured commercial arrangement.

Enterprise and corporate referral arrangements may be governed by a separate written agreement that includes:

  • Volume-based incentive structures
  • Marketing and promotion obligations
  • Customised commission rates and structures
  • Reporting and compliance requirements
  • Service-level commitments from Benmort
  • Dedicated account management support
  • Exclusive territory or category arrangements

Where a separate written agreement exists between Benmort and an enterprise or corporate partner, that agreement governs the relationship to the extent of any inconsistency with these Terms. These Terms continue to apply in all matters not addressed by the separate agreement.

16.Payment of Referral Rewards

We are committed to paying Referral Rewards accurately, on time, and through a convenient method. Approved rewards will ordinarily be paid once all of the following conditions have been satisfied:

  • The applicable holding period has elapsed following the qualifying transaction.
  • The referred customer has met all qualification requirements for the relevant service tier.
  • All required tax identification or payment information has been received from the Referrer.
  • No dispute, fraud investigation, or compliance review is pending in respect of the referral.

Referral Rewards may be paid through any of the following approved methods:

  • Bank transfer
  • Benmort Service Credits (redeemable against Benmort service fees)
  • Mobile money
  • Other approved payment channels communicated by Benmort

17.Tax Responsibilities

Referral Rewards are income. You are solely responsible for understanding and meeting any tax obligations that arise from the rewards you receive through the Referral Programme in your jurisdiction. This includes:

  • Determining whether and how referral income is taxable under the laws applicable to you.
  • Reporting the income to the relevant tax authority where required.
  • Paying any applicable taxes, levies, or statutory deductions on time.

Where required by law, Benmort may:

  • Request your tax identification information before processing a reward payment.
  • Withhold taxes from reward payments at the applicable statutory rate.
  • Report payment details to the relevant tax authority.

We recommend that you consult a qualified tax adviser if you are uncertain about the tax treatment of referral income in your jurisdiction.

18.Marketing Guidelines

As a Referrer, you are representing Benmort Connect to the people you reach. The quality and honesty of that representation matters — both for the people you introduce and for the Benmort brand. You must promote Benmort truthfully, accurately, and responsibly at all times.

All promotional activities must comply with applicable advertising, consumer protection, privacy, and anti-spam laws in the jurisdiction where you are promoting.

The following conduct is prohibited in your promotional activities:

19.Brand Usage

Benmort’s trademarks, logos, wordmarks, colour schemes, and branding assets are the exclusive property of Benmort and are protected by applicable intellectual property laws. Your participation in the Referral Programme does not give you any right to use these assets except as expressly permitted in writing by Benmort.

Where Benmort authorises you to use approved marketing materials, those materials must be used exactly as provided and only for the purposes authorised. The following conduct is strictly prohibited:

  • Altering, modifying, or editing Benmort’s logo, wordmark, or brand assets in any way without written approval.
  • Creating your own branding that uses or resembles Benmort’s intellectual property.
  • Registering domain names that are the same as, or confusingly similar to, any Benmort brand name or trademark.
  • Creating unofficial social media pages, accounts, or profiles that imply they are operated by or on behalf of Benmort.
  • Representing yourself as a Benmort employee, director, or authorised spokesperson unless this has been expressly confirmed in writing.

Any use of Benmort’s intellectual property outside the scope of these Terms will be treated as an infringement and may result in immediate termination of your programme participation and legal action.

20.Data Protection

As a Referrer, you may handle personal information about prospective customers in the course of your referral activities. You must handle this information lawfully, responsibly, and in accordance with applicable data protection laws and the Benmort Privacy Policy.

Specifically, you agree to:

  • Obtain any consent required by applicable law before collecting or submitting personal information about a prospective customer.
  • Provide accurate privacy information to prospective customers where required, including how their information will be used.
  • Protect any personal information you handle using reasonable and appropriate security measures.
  • Submit only the personal information that is reasonably necessary for the purpose of making the referral.
  • Comply at all times with Benmort’s Privacy Policy and all applicable data protection and privacy legislation.

You must never submit personal information that has been obtained unlawfully, without the knowledge of the person concerned, or through deceptive means. Violations of data protection obligations may result in termination of your participation and may be reported to the relevant data protection authority.

21.Confidentiality

In the course of your participation in the Referral Programme, you may receive or become aware of confidential information relating to Benmort’s business operations, commercial arrangements, pricing, products, strategies, or referred customers. You must treat all such information with the highest standards of discretion.

All confidential information received through the programme:

  • Must be used only for the purposes of your authorised participation in the Referral Programme.
  • Must not be disclosed to any unauthorised person, organisation, or competitor.
  • Must be protected using reasonable safeguards appropriate to the sensitivity of the information.

These confidentiality obligations continue in full force after your participation in the programme ends, regardless of the reason for the end of participation.

22.Intellectual Property

Participation in the Benmort Connect Referral Programme does not transfer or grant any ownership of Benmort’s intellectual property to you. This includes, without limitation:

  • Trademarks and brand names
  • Business methodologies and frameworks
  • Logos and design assets
  • Training content
  • Software and digital platforms
  • Confidential business information
  • Marketing materials and templates

You receive only the limited, non-exclusive, revocable permission expressly granted by Benmort to use specific approved promotional materials in connection with your programme participation. This permission may be withdrawn at any time.

23.Prohibited Conduct

The Referral Programme operates on a foundation of trust and honesty. The following conduct is strictly prohibited and will result in the cancellation of pending rewards, recovery of any rewards already paid, and termination of participation. In serious cases, we will report violations to the relevant authorities.

Any Referral Reward obtained or held in connection with prohibited conduct may be cancelled, withheld, or recovered in full. We take programme integrity extremely seriously and monitor for abuse through automated and manual processes.

24.Audit & Verification

Benmort reserves the right to verify the authenticity and eligibility of any referral at any time, before or after payment. Verification is a standard part of our programme integrity processes and is not an indication of wrongdoing.

Verification may include review of:

  • Referral submission records and timestamps
  • Supporting documentation provided by the Referrer
  • Participant identity and registration details
  • Communication records relating to the referral
  • Customer contact and verification status
  • Payment eligibility and programme compliance status

You agree to provide reasonable cooperation with verification processes when requested. This includes providing requested documentation, responding to queries promptly, and making relevant records available.

Failure to cooperate with a verification request may result in delayed, suspended, or cancelled Referral Rewards. Where a verification reveals that a referral was submitted in breach of these Terms, the consequences set out in Section 23 and Section 27 apply.

25.Programme Suspension

Benmort may suspend your participation in the Referral Programme on a temporary basis where any of the following circumstances arise:

  • Suspected fraud, abuse, or manipulation of the programme is being investigated.
  • A verification process is ongoing and remains incomplete.
  • A material breach of these Terms has occurred and is being reviewed.
  • A legal, regulatory, or compliance concern relating to your participation has arisen.
  • A payment investigation or dispute is pending resolution.

Suspension is a temporary measure and does not automatically constitute permanent removal from the programme. Where a suspension is imposed, we will notify you and provide an indication of the expected timeline for resolution where this is reasonably practicable.

During a suspension, pending reward payments may be placed on hold until the matter is resolved. Where the investigation concludes with no finding of wrongdoing, any accrued rewards will be released.

26.Termination of Participation

Benmort may permanently terminate your participation in the Referral Programme in any of the following circumstances:

  • You commit fraud or engage in deceptive conduct in connection with the programme.
  • You repeatedly breach the rules of the programme despite previous warnings.
  • You engage in misleading, false, or deceptive marketing in connection with Benmort.
  • Your conduct causes material damage to Benmort’s reputation or commercial interests.
  • You violate applicable law in connection with your programme activities.
  • You commit a material breach of these Terms that is not remedied within a reasonable period after notification.

You may also withdraw from the Referral Programme voluntarily at any time by providing written notice through Benmort’s designated support channels. Voluntary withdrawal takes effect upon acknowledgement by Benmort.

Termination — whether by Benmort or by voluntary withdrawal — does not affect any rights or obligations that accrued before the date of termination. This includes any outstanding rewards that were validly earned before termination, subject to compliance with these Terms.

27.Recovery of Improper Payments

Where Referral Rewards have been paid to you in error, or where they were obtained through fraud, material misrepresentation, or breach of these Terms, Benmort is entitled to recover those amounts. Recovery may be pursued by any of the following means:

  • Offsetting the amount against future Referral Rewards or other sums payable to you.
  • Requiring repayment directly from you within a reasonable notice period.
  • Deducting the amount from other sums payable to you by Benmort, where legally permissible.
  • Pursuing legal recovery through civil proceedings where other means are insufficient.

Where Benmort intends to recover amounts, we will notify you in writing, setting out the basis for the recovery and the amount claimed. You will have an opportunity to respond before any recovery action is taken, except where immediate action is necessary to prevent further loss.

28.Programme Changes

Benmort operates the Referral Programme in a dynamic commercial environment. We may need to modify, suspend, or discontinue the programme, or any part of it, from time to time. This may include changes to reward structures, eligibility criteria, tier definitions, holding periods, or promotional campaigns.

The following principles apply to programme changes:

  • Changes apply prospectively. They do not affect Referral Rewards that have already been validly earned and are confirmed as payable under the programme terms in force at the time they were earned.
  • Where we make a material change to the programme, we will provide reasonable prior notice through our official channels where this is practicable.
  • Minor administrative or operational changes may be made without advance notice.

If you continue to participate in the programme after the effective date of a change, you are treated as having accepted the updated terms. If you do not agree with a material change, you may withdraw from the programme in accordance with Section 26.

29.Dispute Resolution

We want every Referrer to have a positive experience of the programme. If you believe there is an error in your referral attribution, an incorrect reward calculation, or an unfair programme decision, we want to hear from you and resolve it as quickly and fairly as possible.

Disputes should be handled in the following sequence:

  • Step 1 — Submit your dispute in writing through Benmort’s designated support channel, clearly describing the issue and providing all relevant information and supporting evidence.
  • Step 2 — Benmort will acknowledge receipt of your dispute and begin reviewing the available evidence within a reasonable time.
  • Step 3 — Benmort will communicate its decision in writing, with reasons, within a reasonable period of receiving all required information.

Where a dispute cannot be resolved through this informal process to the satisfaction of both parties, it may be escalated to mediation, arbitration, or court proceedings in accordance with the applicable agreement and governing law.

Submission of a dispute does not suspend payment obligations for rewards that are not the subject of the dispute.

30.Governing Law, Severability & Acceptance

Governing Law

These Referral Programme Terms are governed by the laws of the jurisdiction in which the relevant Benmort contracting entity operates, unless mandatory applicable law requires otherwise.

Severability

If any provision of these Terms is found by a court or competent authority to be invalid, unlawful, or unenforceable, that provision will be read down or severed to the minimum extent necessary. The remaining provisions shall continue in full force and effect.
