The following sections describe the specialist services available through Benmort Business Solutions, together with the acknowledgements and limitations that apply to each service area. These terms should be read alongside Part I (General Terms) and Part III (Commercial & Legal Terms).
11Idea Discovery Services
Starting a business with a well-validated concept dramatically improves your chances of success. Our Idea Discovery services are designed to help founders, entrepreneurs, and organisations evaluate, refine, and structure business concepts before committing significant time, money, or resources.
BBS may provide the following within this service area:
12Idea Discovery — What We Cannot Promise
We want to be completely honest with you about what Idea Discovery services can and cannot do. Our job is to improve the quality of your thinking and decision-making — we cannot manufacture a market or guarantee that customers will respond as hoped.
13Strategy Services
A clear, well-designed strategy is one of the most valuable assets a business can have. Our Strategy services help clients design commercially viable, scalable, and differentiated business models backed by structured thinking and market insight.
BBS Strategy services may include:
14Strategic Recommendations — What We Cannot Promise
Strategic advice is worth most when it is honest about its limitations. Our recommendations are based on professional expertise, available information, and our best judgement — but the future is never certain, and strategy must always be tested against reality.
15Grant & Funding Services
Securing funding is one of the biggest challenges facing any growing business. Our Grant & Funding services are designed to give you the best possible preparation and the strongest possible application — helping you present your business in a compelling, credible, and investor-ready way.
BBS may provide the following within this service area:
16Funding — What We Cannot Promise
We are committed to giving you every possible advantage in your funding journey. But funding decisions are made by independent grant providers and investors — not by us — and we want you to go into the process with realistic expectations.
17Investor & Partner Introductions
Where appropriate and where we believe it may be of genuine value to you, BBS may introduce clients to investors, grant organisations, accelerators, incubators, strategic partners, or industry networks.
Introductions of this kind are made at Benmort’s discretion. They do not constitute an endorsement of either party and do not guarantee that an investment, partnership, or commercial arrangement will result. You remain responsible for conducting your own thorough due diligence before entering into any arrangement arising from an introduction.
18Financial Modelling & Business Plans
Where included in your service package, BBS may assist you with building the financial underpinning of your business case. This is a collaborative process — the quality of the output depends heavily on the quality and accuracy of the assumptions and information you provide.
Support may include:
- Business plan development
- Cost modelling
- Financial assumptions modelling
- Scenario planning
- Revenue projections
- Investment narrative preparation
19Tech Architecture Services
The right technology architecture can be the difference between a platform that scales and one that breaks under pressure. Our Tech Architecture services help organisations design robust, scalable technology solutions that are aligned with their business objectives and growth trajectory.
BBS Tech Architecture services may include:
20Product Discovery & Design
Where engaged for product discovery, BBS can help you move from a product idea to a clear, structured, and buildable specification. We bring together user insight, business requirements, and technical feasibility to give your development team the clearest possible foundation.
Product discovery and design support may include:
- Defining product objectives
- Prioritising features
- Identifying user needs and pain points
- Defining MVP scope
- Creating user journeys
- Preparing development roadmaps
- Developing product requirements documents (PRDs)
A product roadmap is a planning tool, not a guarantee of successful product adoption or commercial performance.
21Software Development & Implementation
Where software development or implementation services are separately agreed in writing, additional technical terms will apply to that engagement. These will specify development milestones, technical specifications, testing requirements, acceptance criteria, maintenance arrangements, and intellectual property ownership.
The preparation of architecture documents, designs, or technical specifications does not automatically include or commit Benmort to software development unless a separate written agreement expressly provides for this.
22Third-Party Technology Services
Modern business technology almost always involves a combination of custom work and third-party platforms. BBS may recommend or help you integrate third-party solutions including cloud providers, CRM platforms, automation tools, payment platforms, analytics tools, software applications, and APIs.
Third-party platforms operate entirely independently of Benmort. You acknowledge that Benmort is not responsible for third-party service interruptions, pricing changes, licensing restrictions, security incidents, policy changes, or the termination of third-party services.
We will always aim to recommend platforms that are well-established, well-supported, and appropriate for your needs — but technology landscapes change, and ongoing supplier relationships are yours to manage.
23Growth & Scaling Services
Growing a business is a different challenge from starting one. Our Growth & Scaling services help established businesses develop the operational capability, systems, and strategy needed for sustainable, structured expansion.
Growth & Scaling services may include:
24Business Systems Development
Reliable, well-documented business systems are what allow a business to grow without the founder having to be involved in everything. BBS can help you build the operational documentation and management infrastructure that supports that transition.
Business systems support may include:
- Standard Operating Procedures (SOPs)
- KPI dashboards
- Process maps and flow diagrams
- Operating manuals
- Workflow systems
- Management frameworks
- Reporting structures
You remain responsible for implementing, embedding, and maintaining these systems within your organisation. The best-designed system only works if it is actually used.
25Workshops & Training
We believe deeply in the power of learning by doing. BBS workshops and training sessions are designed to be practical, engaging, and immediately applicable to your business context.
BBS may provide:
- Founder workshops
- Technology workshops
- Strategy sessions
- Leadership programmes
- Innovation workshops
- Scaling workshops
- Business modelling sessions
Participation in BBS workshops does not constitute certification, accreditation, or professional licensing unless this is expressly stated in the applicable service agreement.
26Deliverables
The specific deliverables you receive will depend on your selected service package and the scope agreed in your Statement of Work. Across BBS engagements, deliverables may include:
- Reports and assessments
- Financial models
- Strategic documents
- Pitch materials
- Business models
- Product requirements documents
- Roadmaps
- Architecture documents
- Presentations
- Implementation plans
All deliverables are prepared based on the information available during the engagement. The quality and completeness of deliverables depends significantly on the quality and completeness of the information you share with us.
27Deliverable Review & Acceptance
When we deliver a work product to you, we want to know that it meets your expectations and aligns with the agreed scope. To make this process smooth and clear for both parties:
- Clients should review all deliverables within the period specified in the applicable Statement of Work.
- Minor revisions reasonably required to align the deliverable with the agreed scope may be included within the engagement.
- Requests for additions, modifications, or features that fall outside the agreed scope may require a separate fee arrangement.
- Where written feedback is not received within the agreed review period, the deliverable may be treated as accepted.
If something is not right, please let us know promptly — we want to resolve any issues as quickly and constructively as possible.
28Client Information & Materials
Everything you bring to the engagement — your data, documents, strategies, brand materials, and business information — belongs to you. You retain full ownership of all information and materials you provide to BBS.
By sharing materials with us, you grant Benmort permission to use them solely for the purpose of delivering the agreed services. You confirm that you have the necessary rights to provide these materials and that doing so does not infringe the rights of any third party.
29Business Outcome Disclaimer
30Early-Stage Business Acknowledgement
If you are at the startup or early-stage phase of your journey, we want to be upfront about the realities of entrepreneurship. Innovation is inherently uncertain, and professional support — however skilled — cannot eliminate that uncertainty.
Clients engaging BBS for startup or venture development services acknowledge that:
- Entrepreneurship involves genuine uncertainty and risk that cannot be eliminated.
- Assumptions require ongoing testing and validation in the real market.
- Strategies may require significant adjustment as the business learns and grows.
- Market conditions, competitor actions, and external events may change in ways that affect your plans.
- Business failure remains possible despite professional support and good preparation.
Our role is to improve the quality of your decisions, strengthen your preparedness, and enhance your ability to execute. The journey — and its outcomes — is yours.
31Service Fees
You agree to pay the fees specified in the applicable proposal, quotation, Statement of Work, service package, subscription plan, or invoice. We will always be transparent about what is included in any fee arrangement before you commit.
Fees may include:
- Consultation fees
- Subscription fees
- Strategy workshop fees
- Implementation fees
- Project fees
- Training fees
- Milestone payments
- Travel and accommodation expenses where applicable
- Monthly retainers
- Third-party software or licensing costs where approved
Unless otherwise stated, all fees are exclusive of applicable taxes, statutory levies, bank charges, and third-party costs.
32Payment Terms
Invoices are payable within the payment period stated on the invoice or applicable agreement. To ensure continuity of your engagement, we ask that payments are made on time.
Unless otherwise agreed in your service arrangement:
- Work will commence only after receipt of any required deposit or advance payment.
- Milestone payments become due upon completion and delivery of the relevant milestone.
- Recurring subscriptions and retainer fees are payable in advance at the start of each billing period.
Benmort reserves the right to suspend work on engagements where invoices remain overdue. We will always notify you before suspending work and give you a reasonable opportunity to resolve outstanding payments.
33Retainer Services
Where you subscribe to an ongoing advisory or managed service retainer, the arrangement provides access to a defined scope of support over an agreed period. The retainer covers only the services expressly included in the agreement.
Unless agreed in writing, unused hours or service allocations do not roll over from one period to the next. Work requested outside the agreed allocation may be quoted and billed separately.
Either party may terminate a retainer arrangement by providing the notice period specified in the applicable agreement.
34Subscription Services
Certain BBS services are offered on a subscription basis, giving you access to ongoing support, resources, and engagement on a recurring cycle.
Subscription services may include:
- Recurring advisory sessions
- Implementation support
- Ongoing strategic support
- Access to digital resources
- Business performance reviews
- Founder community benefits
- Innovation coaching
Subscription fees are billed according to your selected plan and renew automatically at the end of each billing cycle unless cancelled before the applicable renewal date, where automatic renewal has been agreed. Please check your subscription terms for notice requirements.
35Change Requests
As your engagement progresses, you may wish to adjust the direction, scope, or outputs of the work. We welcome that kind of collaboration — but where a requested change is material, we need to manage it formally to protect both parties.
Where a requested change materially affects scope, deliverables, resources, schedule, technology requirements, or cost, Benmort may prepare a Change Request or revised Statement of Work. No revised work will commence until both parties have agreed to the updated scope and commercial terms in writing.
36Client Acceptance of Deliverables
Clear acceptance processes protect everyone involved. Unless otherwise specified in your Statement of Work:
- You should review all deliverables within ten (10) Business Days of delivery.
- If no material written objections are received within the review period, the deliverable will be deemed accepted.
- Where defects directly related to the agreed scope are identified, Benmort will use reasonable efforts to address them.
- Requests for additional features or services beyond the agreed scope will require a separate engagement or change request.
37Intellectual Property
Intellectual property arrangements in advisory and consulting engagements can be complex. We want to be completely clear about who owns what.
| Category | Owned By | Details |
|---|---|---|
| Benmort Methodologies | Benmort | Consulting frameworks, templates, checklists, proprietary tools, training materials, AI workflows, know-how, and pre-existing software libraries |
| Client Materials | Client | Business concepts, trademarks, logos, confidential business information, client-owned datasets, existing software, and proprietary business processes provided before or during the engagement |
| Project Deliverables | Client (upon full payment) | Final deliverables specifically created for the client, subject to third-party licence restrictions, open-source components, and pre-existing Benmort IP incorporated within them |
| Open-Source & Third-Party Components | Third-party licensors | Governed by their respective licence terms; Benmort makes no representations regarding continued support or maintenance by third-party providers |
Where deliverables incorporate third-party or open-source components, the relevant licence terms of those components govern their use. Benmort will aim to draw your attention to any material third-party IP dependencies during the engagement.
38Open-Source & Third-Party Materials
Some deliverables may include or rely upon open-source software or third-party components. These materials remain subject to their respective licence terms, which take precedence over any arrangements between you and Benmort in respect of those specific components.
Benmort makes no representation that third-party providers will continue to maintain, support, or make available their products in the future. Where open-source or third-party components form a significant part of a deliverable, we will inform you of this during the engagement.
39Confidentiality
In the course of working together, we will share information with each other that is genuinely sensitive — business strategies, financial details, client relationships, product concepts, and more. Both parties agree to protect each other’s confidential information with appropriate care.
Confidential information in the context of BBS engagements includes:
- Business strategies and plans
- Trade secrets
- Financial information
- Pricing and commercial terms
- Technical information
- Proposals and pitches
- Customer and partner information
- Product concepts
- Source materials and data
- Investment discussions
- Business plans
Confidential information must not be disclosed except with written consent, where required by law, to professional advisers or subcontractors who are bound by equivalent confidentiality obligations, or where necessary to perform the agreed services. These obligations survive the termination of the engagement.
40Data Protection
Benmort processes personal information in accordance with the Benmort Privacy Policy, applicable data protection legislation, and contractual confidentiality obligations.
Where required to deliver the agreed services, you authorise Benmort to process relevant personal or business information and to share it with approved service providers or partners acting on Benmort’s behalf under equivalent data protection obligations. We will always aim to use only the information that is necessary for the work.
41Non-Circumvention
Benmort invests real time and expertise in building relationships and making introductions on your behalf. In recognition of this, during the engagement and for twelve (12) months following its conclusion, you agree not to knowingly circumvent Benmort by directly engaging consultants, contractors, strategic partners, or introduced funding or technology partners for substantially the same opportunity without Benmort’s prior written consent.
This provision does not restrict relationships that existed before Benmort’s involvement, or engagements that were independently established without reliance on Benmort’s introductions.
42Conflicts of Interest
Benmort takes conflicts of interest seriously. We will take reasonable steps to identify any potential conflicts before and during an engagement. Where a material conflict arises that cannot reasonably be managed while maintaining the integrity of our advice, Benmort may decline to proceed with or terminate the engagement after notifying you. We will always be transparent about our reasoning.
43Warranties
Benmort warrants that it will provide BBS services with reasonable professional care and skill, and that the services will be performed by appropriately qualified personnel.
Except as expressly stated in these Terms or the applicable Statement of Work, all other warranties, representations, or conditions, whether express or implied by law or otherwise, are excluded to the fullest extent permitted by applicable law.
44Limitation of Liability
We work hard to deliver genuine value through every engagement. However, to the fullest extent permitted by applicable law, Benmort shall not be liable for:
- Business losses, loss of profits, loss of revenue, or loss of anticipated savings.
- Loss of investment opportunities or business interruptions.
- Reputational damage.
- Indirect, incidental, consequential, special, or punitive damages of any kind.
Benmort is also not responsible for decisions made independently by investors, grant providers, customers, regulators, or any third party, or for changes in market conditions, competitor actions, economic conditions, or technology failures caused by third parties.
Where our liability cannot lawfully be excluded, Benmort’s aggregate liability arising from a specific engagement will not exceed the total professional fees paid by you to Benmort for that engagement. Nothing in these Terms excludes liability that cannot lawfully be excluded under applicable law.
45Indemnification
You agree to indemnify and hold harmless Benmort, its directors, officers, employees, affiliates, contractors, and authorised representatives from claims, losses, liabilities, damages, costs, and expenses arising from:
- Inaccurate or misleading information provided by you.
- Infringement of third-party intellectual property rights in materials you have supplied.
- Unlawful business activities undertaken by your organisation.
- Misuse of deliverables or materials provided by Benmort.
- Your breach of these Terms.
46Suspension & Termination
Benmort may suspend or terminate services in the following circumstances:
- You materially breach these Terms and fail to remedy the breach within a reasonable period after notification.
- Invoices remain unpaid beyond the agreed payment period.
- Fraudulent or materially misleading information has been provided.
- Continued engagement would violate applicable law or professional obligations.
- You engage in abusive, threatening, discriminatory, or unlawful conduct.
Either party may also terminate an engagement in accordance with the applicable Statement of Work or by providing reasonable written notice where no specific notice period has been agreed.
Termination does not affect rights or obligations intended to survive it, including payment obligations, confidentiality, intellectual property rights, indemnities, and dispute resolution provisions.
47Force Majeure
Neither party shall be liable for delays or failures caused by events genuinely beyond its reasonable control. These include natural disasters, pandemics, war, civil unrest, cyber incidents, telecommunications failures, power outages, government actions, labour disputes, and failures of critical third-party service providers.
The affected party will notify the other as soon as reasonably practicable and will take all reasonable steps to minimise the impact and resume performance as quickly as possible.
48Dispute Resolution
We genuinely hope that any concerns can be resolved through open and honest conversation. If something is not right, please come to us first — we will always try to resolve issues constructively and fairly.
Where a dispute cannot be resolved through good-faith negotiation, the parties may pursue mediation, arbitration, or litigation before a court of competent jurisdiction, as provided in the applicable agreement and governing law. Nothing prevents either party from seeking urgent interim or injunctive relief where necessary.
49Governing Law
These Terms are governed by the laws of the jurisdiction in which the relevant Benmort contracting entity operates, unless otherwise stated in the applicable Statement of Work or required by applicable law.
50Amendments
Benmort may revise these Terms from time to time to reflect changes in law, business operations, technology, or service offerings. We will notify you of material changes through our official channels before they take effect. Your continued use of BBS services after the effective date of any revision constitutes your acceptance of the updated Terms.
51Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be read down or severed to the minimum extent necessary. The remaining provisions shall continue in full force and effect.
52Entire Agreement
These Terms, together with the Benmort Connect General Terms of Use, the Privacy Policy, the Acceptable Use Policy, the applicable Statement of Work, proposal, quotation, and any signed service agreement, constitute the complete agreement between you and Benmort governing your use of Benmort Business Solutions services. These Terms supersede all prior discussions, representations, or understandings on the same subject.

By requesting, purchasing, subscribing to, or using any Benmort Business Solutions service, you confirm that you have read and understood these Terms of Service in their entirety and agree to be legally bound by them.
You further acknowledge that Benmort Business Solutions provides professional advisory, strategy, innovation, technology planning, implementation support, and growth services, and that business success, funding outcomes, market performance, technology adoption, and commercial results remain dependent on your execution, market conditions, and factors beyond Benmort’s reasonable control.
